Purpose
The Senior Legal Counsel position functions as the primary liaison and trusted advisor for all pending and prospective legal matters affecting or initiated by the company across its operations. This role demands the delivery of comprehensive legal support and advisory services throughout the organization by proactively detecting, addressing, and minimizing legal risks in alignment with the company’s strategic objectives.
The incumbent will oversee all legal risks associated with the Company’s commercial legal transactions, as well as litigation proceedings and their advancement within designated units or locations, in accordance with guidance from the Departmental Team Leader (Company Secretary & Director Legal, Risk and Compliance) and appointed external legal counsel.
Oversee a diverse array of operational duties, including coordinating team activities, managing project timelines, and maintaining stringent quality standards. Conduct regular assessments to identify process inefficiencies and implement targeted improvements to enhance productivity and workflow. Serve as a liaison between departments to foster seamless communication and alignment on strategic objectives. Ensure compliance with industry regulations and internal policies while mitigating risks through proactive monitoring and reporting. Collaborate with stakeholders to develop and execute initiatives that drive organizational growth and operational excellence.
You will deliver expert legal counsel and proactive legal services to both the Hub and all outstations, assisting in the identification of critical legal obligations, potential risks, and strategic opportunities to ensure that legal issues and risks are addressed and mitigated before they escalate into material threats to business operations.
The position involves advocating for and managing the Company’s interests across various contractual matters, including Commercial agreements, Joint Ventures, financing arrangements, Aircraft Leases, Registration processes, and Procurement/tendering activities—both domestically and at all remote locations.
Develop and integrate provisions within commercial contracts to grant KM appropriate flexibility and safeguard its commercial interests.
Serve as the primary liaison for all litigation-related matters across the organization, overseeing legal issues at both the Group and country levels in collaboration with external legal counsel and relevant third parties.
Oversee the coordination with external legal counsel, ensuring clear and concise instructions are provided while negotiating favorable fee arrangements for all legal engagements.
Review and/or draft all legal documents executed by the company to safeguard its interests and mitigate potential risks.
Offer strategic guidance to all stakeholders regarding corporate authorities while collaborating closely with senior management to secure necessary board and committee approvals promptly.
Design and create legal tools, governance-related materials, and operational templates to enhance the efficiency of the Legal department.
Responsibilities include drafting and finalizing legal and quasi-legal documents, including proxy forms, powers of attorney, delegations, and tender documentation, as well as coordinating with notaries to ensure proper legalization of such materials.
Provide support in managing the filing of documentation across various jurisdictions to ensure timely updates for the company’s international locations and subsidiaries, as well as handling business and trade registrations and license renewals.
Oversee and evaluate external legal counsel to confirm the efficacy of their representation.
Resolve disputes in a way that protects and upholds the company’s interests and legal standing.
Offer strategic guidance on competition law matters to the business and deliver comprehensive training sessions on regulatory compliance.
Overseeing the company’s intellectual property portfolio in collaboration with external legal counsel and the marketing department ensures strategic alignment and protection of valuable assets. This role involves coordinating efforts to maximize the value and utility of the company’s IP while maintaining compliance with legal standards and business objectives.
Responsibilities include fostering effective management of direct reports through tailored performance development, goal establishment, and ongoing support, while providing essential mentorship and career guidance to align with daily task execution and project delivery.
Perform other legally-related duties as assigned by the Departmental Director.

A recognized university must confer a Bachelor of Laws (LL.B) degree.
Candidates must possess CPS-K qualifications as a mandatory requirement.
A Master’s degree in Law (LL.M), an MBA, or a Certified Secretary qualification, along with other pertinent legal certifications or training, will be advantageous.
Law diploma obtained from the Kenya School of Law (KSL) is required.
Senior candidates must possess a minimum of eight years of high-level management experience within a publicly listed organization or a fast-paced commercial setting, specifically on the mandate of Company Secretary, Legal, and Governance.
A master’s degree is considered a favorable qualification.
Demonstrated expertise in aviation and commercial legal frameworks and regulatory standards is required.
Proven understanding of pertinent laws and regulatory frameworks is required.
