Job Purpose

To formulate and execute robust legal strategies, policies, and procedures, ensuring the Bank meets its business objectives while fully complying with all relevant legal and regulatory requirements, overseeing litigation matters, mitigating legal risks, and delivering authoritative legal opinions and guidance to the Board, Senior Management, and various departments.

Responsibilities include advising senior leadership on high-stakes decisions, negotiating key agreements, and developing policies to foster regulatory adherence. The ideal candidate will possess exceptional analytical skills, a proven track record in legal advisory, and the ability to translate intricate legal concepts into actionable insights for stakeholders.

Craft and execute a robust Legal Department strategy, charter, policies, and procedures to align with the Bank’s business objectives while ensuring full compliance with all relevant legal and regulatory requirements.

Serve as the intermediary between the Bank and the Central Bank of Kenya (CBK) regarding all legal-related communications and compliance matters.

Perform comprehensive evaluations of all financing proposals to determine the most advantageous legal framework and transaction documentation.

Draft and prepare contracts, agreements, powers of attorney, and all other legal documents for review prior to submission to the financing committee.

Offer comprehensive legal guidance and advisory services to every business and support department within the organization.

Regularly provide the Board and Management with updates on the status of legal matters and ensure the maintenance of a thorough legal control sheet.

Monitor Kenyan legislative developments and provide strategic guidance to the Bank regarding the implications of newly enacted laws and regulations.

Collaborate effectively with various Departments and Units throughout the product development lifecycle while ensuring the preparation of comprehensive legal documentation such as agreements, contracts, and forms.

Oversee the preparation of formal legal documents, including memoranda and pleadings, ensuring accuracy and adherence to procedural standards.

The role focuses on overseeing legal disputes and implementing strategies to mitigate potential risks for the organization. Compile legal documents and draft comprehensive reports with strict adherence to confidentiality protocols for sensitive data.

Minimize legal costs while ensuring full alignment with the Bank’s strategic goals.

The incumbent is responsible for safeguarding and maintaining proper custody of the Bank’s critical legal documents, including the Certificate of Incorporation, Memorandum & Articles of Association, and the Company Seal.

Collaborate effectively with the Company Secretary to oversee and administer corporate governance initiatives.

Clarify and convey the roles, decision-making powers, and performance expectations of direct reports to ensure alignment with organizational goals.

Guide and develop the legal team through leadership, coaching, and mentorship, cultivating an environment that drives high performance and excellence.

Devise and implement robust succession planning strategies to safeguard business continuity and maintain seamless departmental operations.

Seeking a highly motivated individual to join our team, the ideal candidate must possess a bachelor’s degree in a relevant field, demonstrate proficiency in data analysis and project management, and have at least three years of experience in a similar role. Strong communication skills and the ability to work effectively in a team environment are essential. Must hold Advocate status of the High Court of Kenya, equipped with a current and valid practicing certificate.

Holding the Institute of Certified Public Secretaries of Kenya (IC PSK) certification would be beneficial.
