Purpose

The Senior Legal Counsel functions as the primary liaison and legal advisor regarding both existing and potential legal matters for and against the company across its operations. This position demands the delivery of legal guidance and support throughout the organization by proactively identifying, addressing, and minimizing legal risks in alignment with strategic business objectives.

The role involves overseeing all legal risks associated with the Company’s commercial legal transactions and litigation matters, ensuring their progression within designated units or stations. This will be executed under the guidance of the Departmental Team Leader, comprising the Company Secretary & Director of Legal, Risk, and Compliance, as well as appointed external legal counsel.

Responsibilities

Offer strategic legal counsel and proactive legal services to both the Hub and all outstations, assisting in the identification of critical legal obligations, potential risks, and growth opportunities to preemptively mitigate legal challenges and minimize exposure to significant business risks.

Represent the Company’s interests in contractual matters across Commercial, Joint Ventures, Financing, Aircraft Leases, Registration, and Procurement/tendering, both domestically and at all outstations.

Develop and implement contractual provisions that offer KM appropriate flexibility within commercial agreements.

Serve as the primary liaison for all litigation-related matters across the company, overseeing legal issues at both the Group and country levels in collaboration with external legal counsel and relevant third parties.

Oversee the coordination with external legal representatives, ensuring precise guidance is provided, and equitable fee arrangements are negotiated for all legal undertakings.

Examine and draft all legal documents executed by the company to safeguard its interests.

Advise all stakeholders on corporate authorities and collaborate closely with senior management to secure timely approvals from the relevant board and committee meetings.

Create governance-related instruments, including documents and templates, to facilitate and enhance Legal operations.

Prepare legal and quasi-legal documents, including proxy forms, powers of attorney or delegations, and tender documentation, while coordinating with notaries to ensure proper legalization.

Facilitate the organization and submission of updated documentation for international entities, including company offices, subsidiaries, business registrations, trade licenses, and renewal applications across various jurisdictions.

Oversee and assess the performance of external legal counsel to confirm the quality and efficacy of their representation.

Resolve disputes in a manner that protects the company’s interests while maintaining compliance with applicable policies and regulations.

Offer strategic guidance on competition law matters to the business and deliver training sessions focused on ensuring compliance with relevant regulations.

Overseeing the company’s intellectual property portfolio in collaboration with external legal advisors and the marketing department.

The role involves leading and nurturing direct reports through tailored performance development, setting clear objectives, and providing ongoing support to ensure the successful completion of daily tasks and projects, complemented by strategic mentorship and career guidance.

Assigned legal tasks and responsibilities as deemed appropriate by the Departmental Director may also be included.

CPS-K certification is an essential prerequisite for this position.

A Master of Laws (LL.M.), a Master of Business Administration (MBA), or a Certified Secretary credential—along with any other pertinent legal certification or training—will be considered an added advantage.

Holds a Diploma in Law from the Kenya School of Law (KSL).

Senior management professionals with at least eight years of experience in a publicly traded company or a high-demand commercial setting are required, specifically in roles focused on Company Secretarial, Legal, and Governance responsibilities.

A master’s degree is considered a beneficial qualification.

Proven expertise in aviation or commercial law and regulatory frameworks is required.

Requires a solid understanding and practical application of pertinent laws and regulatory frameworks.
