Purpose
The Senior Legal Counsel serves as the primary point of contact and trusted advisor for all current and potential legal matters involving the company across its network. This position requires delivering comprehensive legal support and advisory services through proactive identification, communication, and mitigation of legal risks in alignment with the company’s strategic objectives.
The successful candidate will oversee all legal risks associated with Company commercial legal transactions, as well as litigation proceedings and their advancement within designated units or stations, under the direction of the Departmental Team Leader (Company Secretary & Director of Legal, Risk, and Compliance) and external legal counsel.
Oversee and manage a range of operational duties to ensure seamless workflow and adherence to organizational standards, including coordinating team activities, monitoring performance metrics, and implementing process improvements. Develop and execute strategic initiatives to enhance productivity and efficiency, while fostering a collaborative environment that aligns with company objectives. Serve as a liaison between departments to facilitate clear communication, resolve interdepartmental challenges, and drive cohesive project execution. Ensure compliance with industry regulations, company policies, and quality assurance protocols through diligent oversight and proactive risk management. Provide mentorship and guidance to team members, supporting their professional development and fostering a culture of continuous learning and accountability.
Deliver strategic legal counsel and proactive legal services to Hub operations and all outstations, facilitating the detection of critical legal obligations, potential risks, and emerging opportunities to mitigate legal issues and prevent their escalation into material business threats.
The individual will advocate for and enforce the Company’s interests across various contractual domains, encompassing commercial agreements, joint ventures, financing arrangements, aircraft leases, registration processes, and procurement or tendering activities, both domestically and internationally.
Develop innovative solutions and include provisions that grant KM greater flexibility in commercial agreements.
Serve as the primary liaison for all litigation-related matters across the organization, overseeing legal issues at both the Group and country levels while collaborating with external legal counsel and relevant third parties.
Direct oversight of external legal representation involves providing clear, strategic guidance to outside counsel and negotiating favorable fee arrangements for all legal engagements.
Review and/or draft all legal documents executed by the company to safeguard its interests and ensure compliance with applicable laws and regulations.
Offer strategic guidance to all stakeholders regarding corporate authorities while collaborating closely with senior management to secure timely approvals from the relevant board and committee meetings.
Design and create practical tools, governance-related documentation, and operational templates specifically tailored to support Legal department functions.
Draft legal and quasi-legal instruments, including proxy forms, powers of attorney or delegations, and tender documentation, and coordinate with notaries to arrange for their legalization.
Assist with the preparation and submission of documentation required for various international jurisdictions, ensuring updates to the company’s global locations and subsidiaries, as well as the renewal of business and trade registrations and licenses.
Oversee and supervise external legal counsel to verify that legal representation is being delivered efficiently and competently.
Resolve disputes in a manner that protects and upholds the company’s position at all times.
Offer strategic guidance on competition law matters to the business and deliver training sessions focused on ensuring compliance with relevant regulations.
Overseeing the organization’s intellectual property portfolio in collaboration with external legal advisors and the marketing department.
Effectively supervising and nurturing direct reports involves fostering individual growth through targeted performance development, clear objective establishment, and continuous performance support. Additionally, providing essential mentorship and career guidance ensures alignment with day-to-day responsibilities and project objectives.
Performs other legal duties as assigned by the Departmental Director.

Obtained a Diploma in Law from the Kenya School of Law (KSL).
Senior management roles in a publicly traded company or a fast-paced commercial setting, with a focus on Company Secretary, Legal, and Governance responsibilities, require a minimum of eight years of leadership experience.
A master’s degree is considered an additional asset for this position.
Required expertise includes a proven understanding of aviation and commercial laws and regulations.
