Purpose
The Senior Legal Counsel will act as the primary liaison and trusted advisor, addressing all current and prospective legal matters affecting the company across its global operations. This position demands the delivery of comprehensive legal support and guidance throughout the organization by proactively identifying potential legal risks, ensuring clear communication, and implementing effective mitigation strategies aligned with the company’s strategic objectives.
The incumbent will oversee all legal risks associated with the Company’s commercial legal transactions and litigation matters, ensuring their progression within designated units or stations in accordance with the directives of the Departmental Team Leader (Company Secretary & Director of Legal, Risk, and Compliance) and appointed external legal counsel.
Oversee and execute a comprehensive range of duties to ensure operational excellence and team productivity, including project management, strategic planning, and performance monitoring. Develop and implement policies and procedures to enhance efficiency and compliance with organizational standards. Collaborate with cross-functional teams to align goals, resolve challenges, and drive continuous improvement initiatives. Monitor key performance indicators to assess progress, identify trends, and implement corrective actions as needed. Prepare detailed reports, presentations, and analyses to communicate findings and recommendations to senior leadership.
Offer expert legal counsel and proactive legal strategies to the Hub as well as all outstations, assisting in the detection of critical legal obligations, potential risks, and growth opportunities to ensure legal challenges and threats are addressed and mitigated before escalating into major business risks.
The professional will champion and oversee the Company’s interests in contractual matters such as Commercial agreements, Joint Ventures, financing arrangements, Aircraft Leases, Registration processes, and Procurement or tendering activities, both domestically and across all outstations.
Develop strategic solutions and include provisions that grant KM additional flexibility in commercial agreements.
Serve as the primary liaison for all litigation matters and oversee legal issues across the Group and country levels, coordinating closely with external legal counsel and relevant third parties.
Oversee the coordination with external legal counsel, ensuring clear and strategic guidance is provided while negotiating favorable fee arrangements for all legal engagements.
Review and/or draft all legal documents executed by the company to safeguard its interests, ensuring compliance with applicable laws and regulatory standards.
Offer strategic guidance to stakeholders regarding corporate authorities, collaborating closely with senior management to secure timely approvals from relevant boards and committees.
Design and implement various tools, governance-related documentation, and operational templates specifically for the Legal department to enhance efficiency and compliance.
Draft, finalize, and oversee the preparation of legal and quasi-legal instruments, including proxy forms, powers of attorney or delegation documents, and tender submissions, while coordinating with notaries public to ensure proper legalization of all materials.
Provide support in maintaining compliance by coordinating the submission of updated documentation across various international jurisdictions for the company’s offices and subsidiaries, as well as overseeing business and trade registrations and license renewals.
Oversee and evaluate the performance of external legal counsel to guarantee high-quality legal representation.
Resolve disputes in a manner that protects the company’s interests and maintains its legal standing.
Offer strategic guidance on competition law matters to the business while also delivering training sessions to ensure compliance with relevant regulations.
Overseeing the company’s intellectual property portfolio in collaboration with external legal advisors and the marketing department.
The role involves effectively managing and developing direct reports by establishing individual performance plans, setting clear objectives, and providing ongoing performance support, coupled with essential mentorship and career guidance to align with daily tasks and project delivery.
Performs other legally-related duties as assigned by the Departmental Director.

Exceptional communication and interpersonal abilities are necessary to collaborate effectively with cross-functional teams. Proficiency in industry-standard software and tools is also required.
A recognized university must confer a Bachelor of Laws (LL.B) degree.
CPS-K certification is required as a fundamental qualification for the position.
A Master of Laws (LL.M) degree, an MBA, and certification as a Certified Secretary—or any other relevant legal certification or training—will be considered advantageous.
Hold a law diploma from the Kenya School of Law (KSL).
With a minimum of eight years in senior management roles within a publicly listed company or a high-demand commercial setting, candidates must possess extensive experience in Company Secretary, Legal, and Governance responsibilities.
A master’s degree is considered an additional asset for this role.
