Purpose

As the Senior Legal Counsel, you will act as the primary liaison and trusted advisor for all existing and potential legal matters affecting the company across its network. You will be responsible for delivering comprehensive legal support and guidance throughout the organization by proactively identifying, addressing, and mitigating legal risks in alignment with the company’s strategic objectives.

The incumbent will oversee legal risk management for all Company commercial legal transactions and litigation matters, ensuring progress within designated units or stations in accordance with the guidance of the Departmental Team Leader (Company Secretary & Director of Legal, Risk, and Compliance) and appointed external legal counsel.

Overseeing a wide range of operational tasks, this role involves ensuring adherence to established procedures while managing daily workflows with precision. Key duties include coordinating team efforts, maintaining compliance with organizational policies, and addressing any discrepancies or inefficiencies that arise. Additionally, the position requires meticulous attention to detail in documentation, reporting, and process documentation to uphold standards. Collaboration with cross-functional departments is essential to streamline operations and achieve departmental objectives efficiently.

You will deliver expert legal counsel and proactive legal strategies to both the Hub and all outstations, assisting in the detection of critical legal obligations, risks, and opportunities to preemptively address potential legal challenges and mitigate exposure before they escalate into substantial business threats.

The role involves advocating for and managing the Company’s interests across various contractual matters, including commercial agreements, joint ventures, financing arrangements, aircraft leases, registration processes, and procurement or tendering activities—both domestically and at all outstations.

Develop and integrate clauses within commercial contracts to afford KM greater flexibility and mitigate contractual constraints.

Serve as the primary liaison within the company for all litigation-related matters, overseeing legal issues across the Group and at the country level in collaboration with external legal counsel and third parties.

Oversee the coordination with external legal representatives, ensuring clear and comprehensive guidance is provided while negotiating optimal fee arrangements for every legal engagement.

Conduct a thorough examination and, when necessary, draft all legal documents executed by the company to safeguard its interests effectively.

Offer strategic counsel to stakeholders regarding corporate authorities while collaborating closely with senior leadership to secure necessary board and committee approvals promptly.

Design and create operational tools, governance-related documents, and templates specifically tailored to enhance the efficiency of Legal department processes.

Draft, review, and finalize legal and quasi-legal documents, including proxy forms, powers of attorney, delegations, and tender submissions, while coordinating with notaries to ensure proper legalization of all documentation.

Facilitate the preparation and submission of documentation across various jurisdictions to ensure accurate updates for the company’s international locations and subsidiaries, as well as for business and trade registrations and license renewals.

Oversee and evaluate external legal counsel to confirm that legal representation remains effective.

Resolve disputes in a way that protects the company’s interests at all times.

Offer strategic guidance on competition law matters to the business and facilitate training sessions to ensure adherence to regulatory requirements.

Orchestrating the company’s intellectual property portfolio in coordination with external legal advisors and the marketing department.

Effectively managing and nurturing direct reports is essential, encompassing performance development, goal setting, and continuous support. This role demands mentorship and career guidance to align individual growth with daily tasks and project execution.

Perform other legal-related duties as assigned by the Departmental Director.

Qualifications

A recognized university must award a Bachelor of Laws (LL.B) degree.

CPS-K certification must be obtained as a prerequisite for this role.

A Master of Laws (LL.M) degree, an MBA, or a Certified Secretary qualification—along with any other pertinent legal certification or training—will be considered advantageous.

Holders of a Diploma in Law from the Kenya School of Law (KSL) are eligible to apply.

With a minimum of eight years in a senior management capacity within a publicly traded company or a high-volume commercial setting, you must demonstrate extensive experience in company secretarial duties, legal functions, and governance mandates.

A Master’s degree is considered an additional asset for this position.

Possesses solid expertise in aviation and commercial laws and regulations, with proven understanding and practical application.
