An officer must meet the following qualifications for appointment to this grade:

Obtains a bachelor’s degree in law from a university accredited in Kenya.

An individual who holds the esteemed position of an Advocate of the High Court of Kenya.

Requires a minimum of five years of experience in the capacity of Corporation Secretary or an equivalent governance-focused position.

As an accredited member in good standing of the Institute of Certified Public Secretaries of Kenya,

Mandatory registration with the Law Society of Kenya (LSK) is required for this position.

Proficiency in various computer applications is required, with a strong emphasis on software relevant to the role. Candidates must demonstrate a solid understanding of digital tools and platforms essential for daily tasks and long-term projects. Experience with industry-standard applications, including but not limited to word processors, spreadsheets, presentation software, and specialized programs, is expected.

Upholds and fulfills all stipulations outlined in Chapter Six of the Constitution.

Conducts comprehensive assessments to identify client needs, devises personalized care plans, and delivers high-quality services in alignment with established protocols. JOB PURPOSE

The Board Management and Legal Services office is tasked with delivering Board Secretarial services and associated functions to the Board of Directors, alongside offering counsel to both the Board and management. Additionally, it oversees the meticulous administration of contracts, agreements, Memoranda of Understanding (Mouse), and ensures adherence to policy, legal, and regulatory requirements.

Providing executive support to the Chief Executive Officer, you will facilitate secretariat services to the Board, ensuring efficient coordination and adherence to governance protocols.

Offering strategic advice to the Board regarding their duties, governance obligations, and responsibilities ensures alignment with best practices and regulatory standards.

The position plays a key role in supporting the Board by facilitating induction and training sessions, maintaining and updating Board and Committee Charters, developing structured Board work plans, conducting comprehensive Board evaluations, performing governance audits, and ensuring adherence to the Code of Conduct and Ethics.

Ensure the prompt preparation and distribution of Board and Committee papers as well as meeting minutes in a timely manner.

Serve as the official Custodian of the Organization’s Seal, holding responsibility for its proper custody and accountable to the Board for its authorized use.

Responsibilities include managing and regularly updating the conflict of interest register to ensure accuracy and compliance with relevant policies and regulations.

The Legal Counsel must keep Board Members apprised of all pertinent legal regulations impacting the organization’s operations and governance.

Promptly filing annual returns with the appropriate authorities is a key responsibility.

To coordinate the administrative aspects of Board meetings, maintain comprehensive records of proceedings, and execute any additional directives issued by the Board.

Delivering expert counsel on legal and corporate affairs to the Board by analyzing complex issues and preparing formal legal opinions.

Overseeing the representation of the Authority in judicial proceedings and other legal forums to ensure compliance and effective advocacy.

Drafting and revising leases, contracts, licensing frameworks, service level agreements, memoranda of understanding, and other legal documents to verify adherence to statutory mandates and the Authority’s established policies.

In collaboration with the Attorney General, law enforcement agencies, and relevant stakeholders, this role involves addressing and coordinating all legal matters to ensure alignment and compliance with established regulations.

To verify adherence to pertinent regulatory obligations, conducting thorough Legal Audit Compliance reviews is essential.

Responsible for managing the execution of Mongol, the Authority’s Code of Conduct.

The role involves developing, composing, and overseeing the official publication and implementation of declared and suspended facilities, as well as Rules, Regulations, and Directives issued by the Authority.

Contributing to the creation and refinement of the Authority’s Strategic Plan, this role involves actively overseeing and assessing the execution of work plans designed to establish a supportive legal and regulatory framework that safeguards member contributions.

Offer strategic technical leadership while guiding the direction of professional legal services throughout their development, implementation, and assessment phases.

Safeguard the integrity of SHA rights, privileges, and intellectual property interests, as well as those pertaining to other product innovations.
