Oversee and execute essential duties associated with the role, ensuring all tasks are completed efficiently and in accordance with established standards. Monitoring legislative and regulatory updates that impact corporate operations and promptly informing Management of all relevant developments.

Maintain meticulous and accurate documentation of meeting minutes.

Facilitate the coordination and execution of board meetings as well as annual general meetings.

Prepare detailed agendas and structured timetables for both board and annual general meetings, ensuring all key topics and time allocations are clearly outlined.

Verify that all statutory declarations are filed in compliance with applicable regulations and deadlines.

Maintain current and accurate records of the register of directors and secretary.

Assist the Company Secretary by facilitating the prompt distribution of Board materials.

Prepare and submit all regulatory reports and correspondence promptly and accurately.

Guarantee that all statutory filings are submitted punctually and in accordance with regulatory deadlines.

Conduct periodic assessments of governance documents to ensure accuracy, compliance, and alignment with organizational objectives.

Assist the Company Secretary with the compilation and organization of board materials, in addition to fulfilling various other duties.

Assist in the development and implementation of training programs tailored for both new and current directors, focusing on corporate governance principles, as well as the essential duties and responsibilities associated with their roles.

Job Requirements:
