Job Purpose

To formulate and execute robust legal strategies, policies, and procedures, ensuring alignment with the Bank’s business objectives while maintaining strict compliance with legal and regulatory requirements. Additionally, overseeing litigation matters, mitigating legal risks, and delivering expert legal opinions and guidance to the Board, Senior Management, and various departments.

The successful candidate will undertake the following responsibilities:

Delivering comprehensive legal counsel strategically throughout the Bank’s operations.

Overseeing adherence to banking and financial regulatory requirements remains a critical responsibility.

Overseeing litigation proceedings and dispute resolution processes constitutes a primary responsibility of this role. This involves directing legal strategies, coordinating with external counsel and stakeholders, and ensuring adherence to procedural requirements throughout all stages of litigation and alternative dispute resolution mechanisms.

Facilitating sustainable business expansion by implementing strategic legal frameworks and meticulously prepared documentation.

Overseeing the legal department and ensuring the Bank’s legal interests are protected.

Oversee and execute a range of critical duties, including managing project timelines, coordinating team efforts, and ensuring adherence to organizational standards. Develop and implement strategies to enhance operational efficiency and productivity while maintaining high-quality deliverables. Collaborate closely with cross-functional teams to align goals and foster a culture of accountability and continuous improvement. Monitor progress through performance metrics and provide actionable feedback to drive consistent results. Additionally, identify opportunities for innovation and process optimization to support long-term organizational success.

Legal Strategy & Advisory professionals provide strategic guidance and expert counsel to businesses, organizations, and individuals on complex legal matters. They assess risks, develop compliance frameworks, and offer solutions to mitigate potential legal challenges while ensuring adherence to regulatory requirements. Their responsibilities include conducting thorough legal research, analyzing case law, drafting policies, and advising on corporate governance, mergers and acquisitions, intellectual property, and dispute resolution. These professionals must possess strong analytical skills, exceptional attention to detail, and the ability to communicate complex legal concepts clearly to non-legal stakeholders. A Juries Doctor (JD) degree, active bar membership, and relevant experience in corporate law, regulatory compliance, or advisory roles are typically required.

To formulate and execute a cohesive Legal Department strategy, charter, policies, and procedures, ensuring alignment with the Bank’s business objectives while maintaining full compliance with relevant legal and regulatory requirements.

Serve as the primary intermediary between the Bank and the Central Bank of Kenya (CBK) regarding all regulatory and legal affairs.

Evaluates financing proposals comprehensively and proposes optimal legal frameworks and documentation for transactions to ensure compliance and efficiency.

Draft and prepare contracts, agreements, powers of attorney, and various other legal documents for final review prior to submission to the financing committee.

Deliver comprehensive legal guidance and support services to every business and support department across the organization.

Frequently report the progress of ongoing legal issues to the Board and Management while ensuring the accuracy and completeness of a detailed legal control sheet.

Monitor Kenyan legislation and provide strategic guidance to the Bank regarding the implications of newly enacted laws and regulations.

Collaborate seamlessly with various departments and units throughout the product development lifecycle while drafting and finalizing essential legal documentation, including agreements, contracts, and standard forms.

Draft, review, and ensure the accuracy of legal memoranda and pleadings.

Litigation & Risk Management

We are seeking a skilled professional to oversee legal risk mitigation and manage litigation processes. The ideal candidate will have extensive experience in corporate law, regulatory compliance, and dispute resolution. Key responsibilities include advising on risk exposure, developing mitigation strategies, coordinating with external counsel, and ensuring adherence to legal and ethical standards. Education

A recognized university degree or its equivalent in Law at the bachelor’s level is required.

Professional Rewriting:
Possession of the Institute of Certified Public Secretaries of Kenya (IC PSK) certification will be considered an additional qualification.
