Purpose
As Senior Legal Counsel, you will serve as the primary point of contact and trusted advisor on all current and prospective legal matters—both for and against the company—across the organization. In this role, you will deliver comprehensive legal support and advisory services throughout the network by proactively identifying legal risks, ensuring clear communication, and implementing effective mitigation strategies aligned with the company’s strategic objectives.
The incumbent will oversee legal risk management for all commercial legal transactions and litigation matters within designated units or stations, reporting to the Departmental Team Leader, who serves as the Company Secretary & Director of Legal, Risk, and Compliance, as well as to appointed external legal counsel.
We oversee daily operations to ensure compliance with company policies and regulatory standards, fostering a safe and efficient work environment. Duties include managing workflows, resolving issues promptly, and maintaining accurate documentation. Additionally, we collaborate with cross-functional teams to align processes with organizational goals and drive continuous improvement. Strong problem-solving skills and meticulous attention to detail are required, along with the ability to prioritize tasks in a fast-paced setting. Experience in a leadership or supervisory role is preferred, and familiarity with industry-specific software enhances effectiveness.
Offer strategic legal counsel and proactive legal counsel to the Hub and all outstations, assisting in the early detection of critical legal obligations, risks, and opportunities to mitigate potential legal challenges and safeguard the organization against emerging threats.
The position requires representing and advocating for the Company’s interests across all contractual matters, including Commercial agreements, Joint Ventures, financing arrangements, Aircraft Leases, Registration processes, and Procurement/tendering activities, both domestically and at all outstations.
Devise strategic provisions that grant KM additional flexibility within commercial agreements to accommodate evolving business needs.
Serve as the primary liaison within the organization for all litigation-related matters, overseeing legal issues at both the Group and country levels while collaborating with external legal counsel and relevant third parties.
Oversee the coordination with external legal counsel, ensuring clear and precise directives are provided while negotiating favorable fee arrangements for all legal assignments.
Review and draft all legal documents executed by the company to safeguard its interests.
Offer strategic guidance to all stakeholders regarding corporate authorities and collaborate closely with senior leadership to secure timely approvals from relevant boards and committees.
Design governance-related documents, instruments, and templates to enhance and streamline operations within the Legal department.
Prepare legal and quasi-legal materials, including proxy forms, powers of attorney, and tender documentation, while coordinating with notaries to ensure proper legalization of all documents.
Provide support in managing the filing of documentation across various jurisdictions to ensure updates for the company’s international offices and subsidiaries, as well as overseeing business and trade registrations and license renewals.
Ensure the effectiveness of legal representation by overseeing and supervising external counsel closely.
Resolve disputes in a manner that protects the company’s interests and maintains its position.
Deliver strategic guidance on competition law matters to the business while facilitating training initiatives focused on compliance with competition regulations.
Overseeing the company’s intellectual property portfolio in collaboration with external legal counsel and the marketing department ensures strategic alignment and effective management.
Effective leadership and growth of direct reports encompass performance development, goal establishment, and sustained support, along with essential mentorship and career guidance to ensure successful execution of daily responsibilities and projects.
Any additional legal duties assigned by the Departmental Director, as required.

A recognized university must confer a Bachelor of Laws (LL. B) degree.
Qualifications in CPS-K are essential for this position.
A Master of Laws (LL.M), an MBA, or certification as a Certified Secretary—or any other pertinent legal certification or training—will be considered a valuable asset.
Obtained a Diploma in Law from the Kenya School of Law (KSL).
With at least eight years of senior management experience in a publicly listed company or a high-paced commercial setting, candidates should possess a strong background in company secretarial duties, legal compliance, and governance oversight.
A master’s degree is considered beneficial for this role.
Proven expertise in aviation or commercial laws and regulations is required.
Proven understanding of pertinent laws and regulatory frameworks is required.
