Job Purpose
To oversee and direct the day-to-day operations of the department, ensuring alignment with organizational objectives. To establish and execute a robust Legal strategy, policies, and procedures, ensuring alignment with the Bank’s business objectives while fully complying with legal and regulatory requirements. This role will oversee the management of litigation matters and legal risks, while also delivering expert legal opinions and advice to the Board, Senior Management, and various departments.

The position demands proficiency in executing the following key responsibilities:

Offering expert legal counsel to guide the Bank’s strategic initiatives.

Maintaining adherence to all applicable banking and financial regulatory requirements is essential.

Overseeing litigation and dispute resolution processes constitutes a key responsibility.

Facilitating sustainable business expansion by implementing strategic legal frameworks and comprehensive documentation.

Directing the legal department to ensure robust protection of the Bank’s legal interests.

Oversee and execute a comprehensive range of critical tasks, ensuring alignment with organizational objectives and operational standards. Manage daily activities with precision, demonstrating expertise in process optimization and problem resolution. Collaborate across departments to streamline workflows, enhance productivity, and maintain high performance levels. Develop and implement strategic initiatives to support long-term growth and sustainability. Monitor key performance indicators to assess progress and drive continuous improvement. Serve as a primary liaison for stakeholders, facilitating clear communication and fostering productive partnerships. Legal counsel and strategic advisory services are provided to ensure compliance with regulatory requirements and mitigate legal risks across all business operations. Responsibilities include advising executive leadership on legal implications of business decisions, drafting and reviewing contracts, managing litigation, and overseeing regulatory filings to maintain adherence to applicable laws. Candidates must possess a Juries Doctor (JD) degree from an accredited law school, active state bar membership, and a minimum of five years of relevant legal experience, preferably within a corporate or in-house legal environment. Strong analytical, negotiation, and communication skills are essential, along with expertise in corporate governance and commercial law.

Develop and execute a strategic framework for the Legal Department, encompassing a robust charter, policies, and procedures that align with the Bank’s business objectives while ensuring full compliance with all relevant legal and regulatory requirements.

Serve as the intermediary between the Bank and the Central Bank of Kenya (CBK) for all legal-related communications and engagements.

Perform comprehensive evaluations of all financing proposals, after which suggest optimal legal frameworks and corresponding transaction documentation.

Draft and prepare contracts, agreements, powers of attorney, and all other legal documents for review prior to submission to the financing committee, ensuring accuracy and compliance with applicable regulations.

Deliver comprehensive legal counsel and guidance to every business and support unit across the organization.

Consistently inform the Board and Management about the progress of legal matters while maintaining a thorough and up-to-date legal control sheet.

Track developments in Kenyan legislation and provide strategic guidance to the Bank regarding the implications of newly enacted laws and regulations.

Collaborate effectively with various Departments and Units throughout the product development process and draft comprehensive legal documentation, such as agreements, contracts, and forms.

Draft and review legal memoranda and pleadings to ensure accuracy, completeness, and compliance with applicable laws and procedural rules.

Offer strategic direction in the administration of Non-Performing Financing (NPF) facilities and the oversight of the Non-Performing Loan (NPL) portfolio.

To optimize recovery proceeds while minimizing legal risks on defaulted facilities.

Ensure strict adherence to securities regulations and compliance with all applicable legal and regulatory mandates.

Compile legal reports while ensuring the strict confidentiality of sensitive information.

To minimize and strategically align legal costs with the Bank’s overarching objectives.

Education

A bachelor’s degree in Law or an equivalent qualification from an accredited university is required.

Holders of a Postgraduate Diploma from the Kenya School of Law will be considered for this position.

Must hold a current and valid practicing certificate as an Advocate of the High Court of Kenya.

Holding a Certification in Public Secretary of Kenya (IC PSK) would be advantageous for this role.
