Oversee and execute a range of critical tasks to ensure operational excellence and organizational success, including strategic planning, project management, and cross-functional collaboration. Develop and implement policies, procedures, and performance metrics to enhance efficiency, productivity, and compliance with industry standards. Monitor progress, analyze data, and generate reports to assess outcomes, identify trends, and recommend improvements. Lead initiatives to optimize workflows, reduce costs, and foster innovation while aligning with company objectives. Additionally, supervise teams, delegate responsibilities, and provide mentorship to cultivate a high-performing work environment.

Ensuring continuous awareness of evolving laws and regulatory frameworks impacting corporate operations, while providing timely updates to Management on any pertinent changes.

Maintain meticulous and accurate records of meeting minutes to ensure completeness and accessibility.

Assist in the coordination and facilitation of board meetings as well as annual general meetings.

Prepare agendas and detailed timetables tailored specifically for board meetings and annual general meetings, ensuring all items are organized efficiently and presented in a clear, structured manner.

Ensure that all statutory declarations are filed in compliance with relevant legal requirements and deadlines.

Maintain the accuracy and currency of the register of directors and secretary.

Assist the Company Secretary by facilitating the prompt distribution of Board materials.

Prepare and submit regulatory reports and correspondence in adherence to specified deadlines.

Guarantee the punctual submission of all required statutory filings.

Conducting periodic assessments of governance documents is essential to ensure alignment with current standards and organizational needs.

Responsible for drafting legal documents, conducting legal research, and ensuring compliance with statutory and regulatory frameworks. A chartered or associate membership with a recognized body such as the Chartered Governance Institute or equivalent professional secretarial qualification is required.
