Purpose
As the Senior Legal Counsel, you will act as the primary liaison and trusted advisor on all existing and potential legal matters affecting the company across its network. This position requires delivering comprehensive legal support and guidance throughout the organization by proactively identifying, addressing, and minimizing legal risks in alignment with the company’s strategic objectives.
The incumbent will oversee legal risk management for all commercial legal transactions and litigation matters within designated units or stations, in alignment with guidance from the Departmental Team Leader, comprising the Company Secretary & Director of Legal, Risk, and Compliance, as well as designated external legal counsel.
Oversee and execute a comprehensive range of duties, ensuring operational excellence and alignment with organizational objectives. This includes managing day-to-day activities, coordinating team efforts, and implementing strategic initiatives to drive productivity and efficiency. Offer strategic legal counsel and proactive legal services to both the Hub and all outstations, assisting in the detection of critical legal obligations, potential risks, and emerging opportunities to ensure legal challenges and exposures are addressed before escalating into substantial threats to the organization.
The role involves representing and advancing the Company’s interests across various contractual domains, including commercial agreements, joint ventures, financing arrangements, aircraft leases, registration processes, and procurement or tendering activities. This responsibility extends to both domestic operations and all outstation locations.
Develop strategic solutions and include provisions that afford KM increased flexibility in commercial agreements.
Serve as the primary liaison for all litigation matters within the organization, overseeing legal issues at both the Group and country levels while collaborating with external legal counsel and relevant third parties.
Oversee the engagement of external legal counsel, ensuring clear and precise instructions are provided and negotiating favorable fee arrangements for all legal mandates.
Review and/or draft all legal documents executed by the company to safeguard the organization’s interests and mitigate potential risks.
Offer strategic guidance to all stakeholders regarding corporate authorities and collaborate closely with senior management to secure necessary board and committee approvals promptly.
Design governance frameworks, operational templates, and supporting instruments tailored for use within the Legal department.
Prepare legal and quasi-legal documents, including proxy forms, powers of attorney, delegations, and tender documentation, while coordinating with notaries to ensure proper legalization of such materials.
Assist in maintaining accurate and up-to-date records by preparing and filing necessary documentation across multiple international jurisdictions. This includes managing updates for the company’s international offices and subsidiaries, as well as handling business and trade registrations along with license renewals to ensure compliance with local regulations.
Oversee and evaluate the performance of external legal counsel to confirm that legal services are delivered efficiently and in accordance with expectations.
Facilitate the resolution of disputes with strategies that protect and uphold the company’s interests at all times.
Offer strategic guidance on competition law matters to the business while delivering comprehensive training sessions on competition compliance.
Overseeing the company’s intellectual property portfolio in collaboration with external counsel and the marketing team.
Effective leadership and growth of direct reports encompass individual performance enhancement, establishing clear objectives, and providing ongoing support, alongside essential mentorship and career guidance tailored to daily tasks and project execution.
Oversee any additional legal duties as directed by the Departmental Director.

Familiarity with industry-specific software and tools is required, and prior experience in a leadership position is highly desirable. A recognized university must confer a Bachelor of Laws (LL.B) degree.
Qualifications in CPS-K are required as a mandatory criterion for this position.
A Master’s degree in Law (LL.M), an MBA, or certification as a Certified Secretary—or any other pertinent legal certification or training—will be considered an asset.
Hold a law diploma issued by the Kenya School of Law (KSL).
Senior management experience of at least eight years within a publicly listed company or a high-volume commercial setting, specifically in a Company Secretary, Legal, and Governance capacity, is required.
A master’s degree is viewed favorably, though it is not mandatory for consideration.
Required expertise in aviation and commercial legislation and regulatory frameworks.
Proven understanding of applicable laws and regulatory frameworks is essential.
