Purpose

As Senior Legal Counsel, you will function as the central point of contact and primary legal advisor for all ongoing and prospective legal matters involving the company across its network. This position entails delivering comprehensive legal support and advisory services across the enterprise by proactively identifying, communicating, and mitigating legal risks in alignment with the company’s strategic objectives.

The incumbent will oversee all legal risks associated with assigned commercial legal transactions, as well as litigation proceedings and their progression within designated units or stations, under the direction of the Departmental Team Leader (Company Secretary & Director Legal, Risk, and Compliance) and designated external legal counsel.

Responsibilities

Deliver strategic legal counsel and proactive legal guidance to the Hub and all outstations, facilitating the identification of critical legal obligations, risks, and opportunities to prevent the escalation of legal issues and risks into major business threats.

The role involves advocating for and managing the Company’s interests in contractual matters, which encompass Commercial agreements, Joint Ventures, financing arrangements, Aircraft Leases, Registration processes, as well as Procurement and tendering activities—both domestically and across all outstations.

Develop and implement contract provisions that offer KM increased flexibility within commercial agreements.

Serve as the primary liaison for all litigation matters within the organization, overseeing legal issues across the Group and individual countries in coordination with external legal counsel and relevant third parties.

Oversee the engagement of external legal counsel, ensuring clear and strategic instructions are provided while negotiating favorable fee arrangements for all legal mandates.

Examine and, if necessary, draft all legal documents executed by the company to safeguard its interests.

Advise all stakeholders regarding corporate authorities and collaborate closely with senior management to secure timely approvals from the relevant board and committee.

Design regulatory tools, governance frameworks, and operational templates specifically tailored to enhance and streamline Legal department processes.

Prepare legal and quasi-legal documents—including proxy forms, powers of attorney, delegations of authority, and tender documentation—and coordinate with notaries to ensure proper legalization of these materials.

Prepare and manage the submission of documentation for various jurisdictions to support updates to the company’s international locations and subsidiaries, as well as business and trade registrations and license renewals.

Ensure external counsel delivers effective legal representation by providing briefing and ongoing oversight.

Resolved disputes must align with the company’s best interests, ensuring all actions uphold and protect its legal and operational standing.

Offer strategic guidance on competition law matters to the business while delivering comprehensive training sessions to ensure compliance with relevant regulations.

Overseeing the company’s intellectual property portfolio in collaboration with external legal advisors and the marketing department.

Effective leadership and growth of direct reports encompass individual performance enhancement, goal establishment, and ongoing support, along with essential mentorship and career guidance tailored to daily tasks and project execution.

Performs various legal duties as assigned by the Departmental Director, in addition to other related responsibilities.

Hold a Diploma in Law conferred by the Kenya School of Law (KSL).

With at least eight years of senior management expertise in a listed company or a fast-paced commercial setting, you should possess a strong background in Company Secretary, Legal, and Governance responsibilities.

A master’s degree is considered a beneficial qualification.

Proficiency in aviation or commercial laws and regulations must be clearly demonstrated.

Possesses a thorough understanding of pertinent laws and regulatory frameworks pertinent to the role.
