Purpose
As Senior Legal Counsel, the primary responsibility is to act as the central point of contact and chief advisor for all ongoing and prospective legal matters affecting the company across its network. The individual will oversee all legal risks associated with assigned commercial legal transactions and litigation proceedings, ensuring progress aligns with designated units or stations under the guidance of the Departmental Team Leader, specifically the Company Secretary & Director of Legal, Risk, and Compliance, as well as designated external legal counsel.

Offer expert legal counsel and proactive legal strategies to both the Hub and all outstations, facilitating the identification of critical legal obligations, risks, and opportunities to preemptively address potential legal challenges and mitigate business exposure before they escalate into major concerns.
As the Company’s representative, your role involves managing and overseeing contractual matters encompassing Commercial agreements, Joint Ventures, financing arrangements, Aircraft Leases, Registration processes, as well as Procurement and tendering activities, both domestically and across all outstations.
Craft innovative solutions and integrate strategic clauses to afford KM enhanced flexibility within commercial agreements.
Serve as the primary liaison for all litigation matters and oversee legal issues across the Group and at the country level, coordinating closely with external legal counsel and relevant third parties.
Oversee the coordination with external legal counsel, ensuring clear and precise instructions are provided while negotiating optimal fee arrangements for each legal engagement.
Review and/or draft all legal documents executed by the company to safeguard its interests and ensure compliance with applicable laws.
Offer strategic guidance to all stakeholders regarding corporate authorities, collaborating closely with senior leadership to secure timely board and committee approvals as required.
Design and implement operational instruments, governance documentation, and standardized templates for use within the Legal department.
Prepare legal and quasi-legal materials, including proxy forms, powers of attorney, delegations of authority, and tender documentation, while coordinating with notaries to ensure proper legalization of all relevant documents.
Provide support in the preparation and submission of documentation across various jurisdictions to facilitate updates for the organization’s international offices and subsidiaries, as well as to manage business and trade registrations along with license renewals.
Oversee and evaluate the performance of external legal counsel to guarantee optimal legal representation at all times.
Resolve disputes strategically to uphold the company’s interests and maintain a strong legal standing.
Offer strategic guidance on competition law matters to the business and deliver training sessions to ensure adherence to compliance standards.
Overseeing the company’s intellectual property portfolio in collaboration with external legal advisors and the marketing team.
Effective leadership and growth of direct reports encompass performance development, goal establishment, and ongoing support, along with essential mentorship and career guidance aligned with daily operations and project execution.
Performs other legal duties as assigned by the Departmental Director.

Holders of a Diploma in Law (KSL) qualification are sought after for this position, demonstrating a solid foundation in legal principles and practices.
