Purpose
The Senior Legal Counsel position functions as the main point of contact and primary source of legal guidance for all current and potential litigation involving the company across its entire network. This role entails delivering comprehensive legal support and advisory services throughout the organization by proactively identifying, communicating, and mitigating legal risks in alignment with the company’s strategic objectives.
The individual will oversee all legal risks associated with assigned commercial legal transactions and ongoing litigation matters, ensuring progress aligns with designated units or stations under the direction of the Departmental Team Leader (Company Secretary & Director of Legal, Risk, and Compliance) and designated external legal counsel.
Oversee a range of critical duties encompassing project management, team leadership, and strategic planning to ensure organizational objectives are met efficiently and effectively. Develop and implement innovative solutions to address complex challenges while fostering collaboration across departments. Monitor progress, assess performance metrics, and provide actionable feedback to drive continuous improvement and accountability. Ensure adherence to company policies, industry regulations, and best practices to maintain high standards of compliance and operational excellence. Serve as a primary point of contact for stakeholders, facilitating clear communication and alignment on key initiatives. Manage resource allocation, budget tracking, and risk assessment to optimize productivity and mitigate potential obstacles.
Offer strategic legal guidance and proactive counsel to both Hub and all remote outstations, assisting in the detection of critical legal obligations, risks, and opportunities to preemptively address potential issues and mitigate their escalation into major business threats.
As the Company’s representative, oversee and enforce its interests across a broad spectrum of contractual engagements, including Commercial agreements, Joint Ventures, financing arrangements, Aircraft Leases, Registration processes, as well as Procurement and tendering activities—both domestically and at all outstation locations.
Craft inventive contractual solutions and strategically integrate clauses that grant KM enhanced flexibility within commercial agreements.
Serve as the primary liaison for all litigation matters and oversee legal issues at both the Group and country levels, coordinating closely with external legal counsel and third parties.
Oversee the coordination with external legal advisors, ensuring clear directives are provided, and advantageous fee arrangements are established for all legal assignments.
Carefully examine and, where necessary, draft all legal documents executed by the company to safeguard its legal and financial interests.
Offer guidance to all stakeholders regarding corporate authorities while collaborating closely with senior management to secure necessary board and committee approvals promptly.
Design regulatory instruments, operational governance documents, and templates to facilitate efficient execution of Legal department functions.
Prepare legal and quasi-legal documents, including proxy forms, powers of attorney, delegation instruments, and tender documentation, while coordinating with notaries to ensure proper legalization of such materials.
Provide support in managing the documentation filing process across various jurisdictions to facilitate updates for the company’s international locations and subsidiaries, as well as business and trade registrations and license renewals.
Oversee and evaluate the performance of external legal counsel to guarantee the quality and effectiveness of legal representation.
Resolve disputes in a manner that protects the company’s interests and maintains its position.
Offer strategic guidance on competition law matters to the business and deliver training sessions focused on ensuring compliance with regulatory standards.
Overseeing the company’s intellectual property portfolio in collaboration with external legal counsel and the marketing department ensures alignment and strategic protection of valuable assets.
Effective leadership and professional growth of direct reports entail setting performance objectives, delivering targeted support, and fostering mentorship and career guidance, all aligned with the successful execution of daily responsibilities and strategic projects.
Performs other legal duties as assigned by the Departmental Director, ensuring alignment with departmental objectives and priorities.

Earned a Bachelor of Laws (LL.B) degree from an accredited university.
Candidates must possess the Certified Professional Secretary-Knowledge (CPS-K) certification as an essential qualification for this position.
A Master’s degree in Law (LL.M), an MBA, or a Certified Secretary qualification—or any other pertinent legal certification or training—would be considered advantageous.
Holders of a Diploma in Law (KSL) qualification will demonstrate comprehensive understanding of legal principles, statutes, and case law. This credential signifies completion of a structured educational program approved by the Kenya School of Law, equipping graduates with foundational knowledge essential for entry into legal practice or further academic pursuits.
With a minimum of eight years of senior management expertise in a publicly listed company or a fast-paced commercial setting, candidates must have served in roles focused on Company Secretary, Legal, and Governance responsibilities.
A master’s degree is considered an additional asset for this role.
Possesses a solid understanding of aviation or commercial laws and regulations, with verifiable expertise in the field.
