Purpose
The Senior Legal Counsel will act as the primary point of contact and advisor for all current and prospective legal matters affecting the company across its operations. This role involves delivering comprehensive legal support and guidance throughout the organization by proactively identifying, addressing, and mitigating legal risks in alignment with the company’s strategic objectives.
The incumbent will oversee legal risk management for all assigned commercial legal transactions, as well as litigation proceedings and advancements within designated units or stations, in accordance with directives from the Departmental Team Leader (Company Secretary & Director Legal, Risk, and Compliance) and designated external legal counsel.
Responsibilities
Offer legal counsel and proactive legal strategies to both the Hub and all outstations, assist in recognizing critical legal obligations, risks, and opportunities to ensure legal issues and risks are addressed and resolved before escalating into major threats to the business.
The position involves advocating for and managing the Company’s interests in contractual affairs, spanning Commercial agreements, Joint Ventures, financing arrangements, Aircraft Leases, Registration processes, as well as Procurement and Tendering activities—both domestically and across all outstations.
Devise strategic provisions and include clauses designed to grant KM greater flexibility within commercial agreements.
Act as the primary liaison for all litigation matters within the company, overseeing legal issues across the Group and country levels while coordinating with external legal counsel and relevant third parties.
Oversee the engagement of external legal counsel, ensuring clear and effective instructions are provided while negotiating favorable fee arrangements for all legal mandates.
Conduct a thorough examination and/or drafting of all legal documents executed by the company to safeguard its interests.
Offer strategic guidance to stakeholders regarding corporate authorities and collaborate closely with senior leadership to secure timely board and committee approvals.
Design and implement various tools, governance frameworks, and operational templates specifically tailored to support the Legal department’s functions.
Prepare legal and quasi-legal documents, including proxy forms, powers of attorney or delegations, and tender documentation, while coordinating with notaries to ensure proper legalization of the paperwork.
Assist in maintaining and updating documentation across various international jurisdictions, ensuring compliance for the company’s global locations and subsidiaries. This includes overseeing business and trade registrations as well as managing the renewal of licenses as required.
Oversee and evaluate external legal counsel to confirm the efficacy of their representation.
Resolve disputes in a manner that upholds and protects the company’s interests and legal standing.
Offer strategic guidance on competition law matters to the business while facilitating training sessions to ensure adherence to compliance requirements.
Overseeing the company’s intellectual property portfolio in collaboration with external counsel and the marketing team.
Effective management and development of the direct reports, including individual performance development, objective setting, and performance support, requisite mentorship, and career coaching in relation to the delivery of day-to-day tasks and projects.
The Departmental Director may delegate additional legal assignments as required.

Qualifications
A recognized university must confer a Bachelor of Laws (LL.B) degree or equivalent qualification.
CPS-K certification is an essential requirement for consideration in this role.
A Master of Laws (LL.M.), a Master of Business Administration (MBA), or a Certified Secretary qualification—or any equivalent legal certification or training—would be considered advantageous.
Hold an accredited diploma in law from the Kenya School of Law (KSL).
Senior management roles requiring a minimum of eight years of experience within a publicly listed company or a high-volume commercial enterprise, specifically within the domains of Company Secretarial duties, Legal affairs, and Governance mandates.
A master’s degree is considered a valuable asset.
Proficiency in aviation or commercial laws and regulations is essential.
Possesses a thorough understanding of pertinent laws and regulatory requirements.
