Purpose

The Senior Legal Counsel functions as the primary liaison and advisor, addressing both existing and prospective legal matters for and against the company across its entire network. This position entails delivering legal support and advisory services throughout the organization by proactively identifying, communicating, and mitigating legal risks in alignment with the overarching business strategy.

The individual will oversee all legal risks associated with assigned commercial transactions and litigation matters, ensuring their progression within designated units or locations, in alignment with directives from the Departmental Team Leader—specifically the Company Secretary & Director of Legal, Risk, and Compliance—as well as external legal counsel.

Oversee and execute a comprehensive range of duties encompassing project planning, team coordination, and stakeholder communication, ensuring alignment with organizational objectives and timelines. Liaise with cross-functional departments to streamline processes, mitigate risks, and resolve operational challenges promptly. Monitor performance metrics to identify trends, implement corrective actions as needed, and optimize productivity across initiatives.

Offer legal counsel and proactive legal strategies to both the Hub and all outstations, assist in pinpointing critical legal obligations, potential risks, and strategic opportunities to ensure legal challenges and risks are recognized and addressed before escalating into substantial threats to the business.

The position involves representing and safeguarding the Company’s interests across various contractual matters, including Commercial agreements, Joint Ventures, financing arrangements, Aircraft Leases, Registration processes, and Procurement/tendering activities, both domestically and at all outstations.

Design and implement contractual clauses that afford KM greater flexibility and risk mitigation in commercial agreements.

Serve as the primary point of contact within the company for all litigation-related matters, overseeing legal concerns across the Group and at the country level in coordination with external legal counsel and third parties.

Oversee the engagement of external legal counsel, ensuring clear and effective communication of instructions and negotiating optimal fee arrangements for all legal mandates.

Review and/or draft all legal documents executed by the company to safeguard its interests and ensure compliance with applicable laws.

Offer strategic guidance to all stakeholders regarding corporate authorities, collaborating closely with senior management to secure timely board and committee approvals.

Design governance-related instruments, documentation, and operational templates to support Legal department functions.

Prepare legal and quasi-legal documents, including proxy forms, powers of attorney, delegation documents, and tender materials, while coordinating with notaries to ensure proper legalization of all documentation.

Provides support in organizing and submitting documentation across various jurisdictions to reflect updates to the company’s international offices and subsidiaries, as well as business and trade registrations and license renewals.

Oversee and assess the performance of external legal counsel to guarantee optimal legal representation.

Resolve disputes in a manner that protects the company’s interests and maintains its position.

Offer strategic guidance on competition law matters to the enterprise and deliver training sessions focused on ensuring compliance with competition regulations.

Overseeing the company’s intellectual property portfolio in collaboration with external legal counsel and the marketing department.

Effective leadership of direct reports encompasses optimizing individual performance through tailored development plans, clear objective alignment, and continuous performance support. This involves providing essential mentorship and career guidance to ensure seamless execution of daily responsibilities and project-based initiatives.

Handle additional legal tasks as assigned by the Departmental Director.

Hold a Diploma in Law accredited by the Kenya School of Law (KSL).

Senior management professionals with a minimum of eight years of experience in a publicly listed company or a high-volume commercial enterprise are sought, specifically those with a proven track record in Company Secretary, Legal, and Governance responsibilities.

A master’s degree is considered an additional benefit for this role.

Possesses proven expertise in aviation or commercial legal frameworks and regulatory standards.
