Senior Legal Officer Senior Officer – Service Desk

Role Purpose
The role holder with be charged with the responsibility of proving legal services to the Company, especially in drafting and interpretation of legal instruments/ documentation and interpretation of statutes and regulations. He/she will also be required to enhance corporate governance by assisting the Company Secretary in providing secretarial services to the Board.
Main Responsibilities
Operational

Review, draft, and revise commercials, contracts, service agreements, and other legal documents to ensure accuracy, clarity, and alignment with the business.
Providing legal advice to various departments/ business lines within the Company.
Administration of court cases in conjunction with external counsel and monitoring progress to ensure prompt appropriate resolution of all disputes.
Assisting the Company Secretary in arranging Board Meetings and attending to all matters relating to the operation and function of the Board and/or any subsidiary Board and Committees.
Collate Board/ Committee papers and distributing to the Board/ Committee members.
Taking minutes of Board/Board Committee meetings when designated to do so.
Assisting in ensuring that statutory registers required to be kept under the Companies Act and other relevant Acts are in order.
Evaluate potential legal risks and issues related to insurance products, services, and operations, and provide recommendations for risk mitigation strategies.
Conduct legal research to stay informed about changes in insurance laws, regulations, and industry best practices as well as preparation of legal opinions and reports.
Oversee the organization’s contract management system, ensuring proper documentation and adherence to contractual obligations.
Develop and deliver legal training sessions to internal stakeholders, including underwriters, claims team, and other departments, to enhance legal awareness and compliance.
Providing legal support for all tenancy issues.
Preparing statutory returns for filing.

Corporate Governance

Ensure compliance with the regulatory/reporting requirements of the various stock exchanges on which the Company is listed.
Adherence to the laws and regulations of Kenya and all internal company policies and procedures.
Ensuring compliance with applicable statutory and regulatory requirements and establishing mitigation measures against emerging business risks.
Advise on corporate governance matters, including board meetings, shareholder relations, and compliance with corporate governance principles.

Leadership & Culture

Fostering a corporate culture that promotes ethical practices and good corporate citizenship while maintaining a conducive work environment.
Collaborate with cross-functional teams to develop initiatives that promote a positive and inclusive company culture.

Provide guidance and mentorship to junior legal professionals, fostering professional growth.

Qualifications
Academic Qualifications

Bachelor of Laws Degree from a recognized University.
Diploma from the Kenya School of Law is an added advantage.

Professional Qualification

Advocate of the High Court of Kenya
Current Practicing Certificate
Certified Public Secretary Certification is an added advantage.

Relevant Experience

7+ years of legal experience in a corporate set-up.
Good knowledge of principles of good corporate governance.
Sound knowledge of property law, company law and company secretarial practice
