Qualifications
Minimum of 5 years company secretarial experience (post completion of CPS course) in a busy corporate environment
Certified Public Secretary – CPS (K) and a holder of a current practicing certificate
Bachelor’s degree in relevant management
Accredited governance auditor with ICPSK will be an added advantage.
Experience
A solid understanding of Corporate Governance best practice, and experience of applying this understanding pragmatically in support of boards and committees within diverse
Experience in interacting with senior Board
Experience in planning/ organizing for committee, board, general meetings, engaging with the various stakeholders in the process and attending meetings and preparation of the minutes thereof with minimal
Thorough knowledge of the common rules and regulations of a company in accordance with the Companies Act and Laws of Kenya and Codes of Corporate
Experience in analyzing a company’s constitutive documents including the Memorandum and Articles of Association and advising as
Experience in advising and dealing with registration of entities, increase of capital, transfer of shares, change of directors, mergers, acquisitions and restructuring of companies, and drafting appropriate
Experience in handling governance work including drafting of Board Charters and other Board governance documents, undertaking, or supporting governance audits, Board training work, undertaking, or supporting Board evaluations
Experience in leading a team of associates and graduate
Experience working with public listed entities will be an added
Technical Tasks
Attendance at and taking minutes at board and committee
Tracking to completion actions arising from board and committee
Maintaining board and committee records, including papers, minutes and other
Support the Partners in delivering aspects of delivery such as minutes and/or
Assist in preparation of advisory papers with regards to wider secretarial consultancy and governance such as drafting of charters, governance policy papers, etc
Statutory compliance – responsible for ensuring the maintenance of statutory records for entities and for ensuring the timely submission of statutory
Oversee share certificate and updating of the statutory
Supporting corporate transactions as and when required, including drafting board resolutions and supporting briefing materials for board
Undertake governance audit fieldwork and drafting of the
Assign and review Compliance work
Attend to client correspondence

Time recording of daily

Financial Management
Oversee the quality of the reports prepared by the Personal Assistant (PA)
Coach the Associates on information required for tracking/reporting.
Participate in Billing and
Support the PA to pursue KRA/annual compliance of the firm’s legal entities.
Support PA in organizing the Reports to required quality for departmental
Audit the BRS Linking process

Attend firm scheduled trainings recommended for the role including e-learnings.
