Head Counsel, Governance & Shared Services

Reporting to the Group General Counsel; this position leads a team to manage the support in governance matters and subsidiary shared services including coordination of board meetings, maintenance of statutory registers, legislative and policy and procedures compliance for the board, and provision of legal support for subsidiaries.
Key Responsibilities:

Managing the Governance & Shared Services team and ensuring excellent service provision and performance management and team motivation and development.
Management of the company secretariat services for KCB Bank Kenya.
In liaison with the Group General Counsel prepare and execute the KCB Bank Kenya business cycle board meetings calendar and activities, communicate and track matters arising, communicate decisions and support their implementation.
Coordination of board meetings including ensuring board papers are presented in a timely manner.
Accurate and timely recording of minutes at directors and shareholder meetings.
Maintenance of statutory registers of directors and shareholders.
Ensuring timely filing of annual returns and corporate changes required at the BRS and across the Group entities.
Overseeing and ensuring Group wide legislative and policy and procedures compliance for the board.
Overseeing and ensuring Group wide compliance with continuing obligations under the listing rules and related regulatory requirements.
Overseeing and ensuring Group wide Continuous review of governance documents (charters, policies, tors) to ensure these are up to date and remain relevant.
Overseeing and roll out of Group wide Board evaluation and training.
Overseeing Group wide regulatory compliance and reporting as well as the co-ordination of legal risk and compliance activities.
Any other duties as may be required.

The Person:

For the above position, the successful applicant should have the following:
Bachelor’s degree in Law (LLB) with master’s degree as added advantage.
Diploma in Law.
At least 10 years’ post admission experience with 8 years’ experience in legal drafting.
7 years’ experience in legal communication, advocacy, and corporate governance.
Strong written and verbal communication skills.
