Reporting to the Chief Executive Officer, the Cooperation Secretary will be responsible for:-
Providing guidance to the board on their duties and responsibilities and on matters governance;
Assist the Board in carrying out Board Inductions and Training
Assist the Board in updating the Board and Committee Charters;
Assist the Board in preparation of Board Work Plans, Board Evaluation, Implementation of the code of conduct and ethics and conducting of governance audits;
Ensuring timely preparation and circulation of Board and Committee papers and minutes;
Being the custodian of the seal of the Organization and account for its use to the Board;
Maintaining and updating the register of conflicts of interests;
Ensuring that Board members are aware of all relevant laws affecting the organization; and
Ensure that annual returns are promptly filed with the relevant authorities.
Qualifications
Served in the grade of Deputy Director, Legal Services for a minimum period of four (4) years or in a comparable and relevant position in the Public Service for a minimum period of twelve (12) years, five (5) of which shall be at senior management role;
Bachelor of Laws degree from a recognized institution;
Master of Laws degree from a recognized institution;
Post Graduate Diploma in Law from Kenya School of Law;
Admitted as an Advocate of the High Court of Kenya with a valid Practicing Certificate;
Registered as a member of the Law Society of Kenya in good standing;
Membership to the Institute of Certified Public Secretaries;
Certificate in Leadership/Governance course lasting not less than four (4) weeks from a recognized institution;
Proficiency in computer applications;
Met the requirements of Chapter Six (6) of the Constitution;
Demonstrated professional, Managerial and administrative competence in work performance; and
Exhibited a thorough understanding of national goals, policies, objectives and ability to relate them to proper management of legal services functions.
