Professional Qualifications, Essential Skills, and Relevant Experience Required:

To qualify for this position, an officer is required to meet the following criteria:

A bachelor’s degree in law from a recognized university in Kenya is required.

As a qualified Advocate of the High Court of Kenya, you will serve as a legal professional with the authority to represent clients in judicial proceedings before the High Court.

Minimum of five years’ experience in a Corporation Secretary capacity or an equivalent governance-focused position is required.

An active and certified member of the Institute of Certified Public Secretaries of Kenya is required.

Mandatory affiliation with the Law Society of Kenya (LSK) is required.

Proficiency in various computer applications is required, along with a strong command of digital tools and software relevant to the position.

Ensures compliance with the stipulations outlined in Chapter Six of the Constitution.

Deliverables encompass managing daily operations, ensuring compliance with regulatory standards, and fostering team collaboration to achieve organizational objectives. Duties involve overseeing project timelines, conducting performance evaluations, and implementing process improvements to enhance efficiency. JOB PURPOSE

The Board Management and Legal Services office is tasked with delivering comprehensive Board Secretarial support and associated services to the Board of Directors, alongside offering strategic guidance to both the Board and management. Additionally, it ensures the meticulous management of contracts, agreements, and Memoranda of Understanding (Mouse), while maintaining strict adherence to established policies, legal provisions, and regulatory requirements.

JOB DESCRIPTION

Providing administrative support to the Chief Executive Officer in the execution of secretariat functions for the Board.

Offering strategic advice to the Board regarding their duties, obligations, and governance-related issues.

The incumbent will provide support to the Board by facilitating induction and training sessions, maintaining and updating Board and Committee Charters, developing Board work plans, conducting Board evaluations, performing governance audits, and ensuring adherence to the Code of Conduct and Ethics.

We are responsible for the prompt preparation and distribution of Board and Committee papers and minutes.

Serve as the custodian of the organization’s official seal, bearing responsibility for its proper utilization and accountability to the Board for all associated actions.

Maintaining and periodically updating the register to document potential conflicts of interest are essential responsibilities of this role.

Ensuring that Board Members remain fully informed of all pertinent laws impacting the organization.

Prompt filing of annual returns with the appropriate regulatory bodies is required.

The responsibilities encompass organizing the agenda for Board meetings, documenting the minutes of proceedings, and executing additional tasks as delegated by the Board.

Advising the Board on legal and corporate matters by offering expert interpretations and preparing formal legal opinions.

Ensuring the Authority’s representation in courts and other judicial proceedings, as well as coordinating such engagements, is a key responsibility.

Drafting and revising Leases, Contracts, Licensing Frameworks, Service Level Agreements, Memoranda of Understanding, and other legal documents to verify adherence to statutory regulations and the Authority’s established policies.

Collaborating closely with the Attorney General, law enforcement entities, and relevant stakeholders to address all legal matters ensures comprehensive coordination and alignment across key parties.

Carrying out Legal Audit Compliance reviews to verify adherence to applicable statutory requirements.

Responsible for ensuring the effective execution of Mongol, the Code of Conduct established by the Authority.

Responsibilities include developing, preparing, and implementing gazetteer processes for declared and suspended facilities, in addition to crafting and enforcing Rules, Regulations, and Directives mandated by the Authority.

Engaging in the creation and refinement of the Authority’s Strategic Plan, this role involves overseeing and assessing the execution of work plans designed to establish a supportive legal and regulatory framework, with a primary focus on safeguarding member contributions.

Deliver expert technical guidance and strategic vision to guide the creation, deployment, and assessment of high-quality legal services.

Safeguard the exclusive rights, benefits, and intellectual property interests associated with SHA, as well as the innovations tied to its products.
