Board of Directors – 5 Positions

The Directors shall serve for a three (3) year contract with possibility of renewal for another three (3) year term depending on performance. The Directors shall be elected from the following categories;

Two members from the Business and Manufacturing Community nominated by their registered bodies, resident in Homa Bay County.
One local professional from the professional bodies nominated from the bodies or any other key primary stakeholders that is of equivalent value to the professional body operating in the County.
Two representatives from different residents’ organizations within the County.

 Roles of Directors
The Board has delegated authority for the operations and administration of the
Organization to the Chief Executive Officer (CEO).
The functions of the Board are to:

Provide effective leadership and collaborate with the Executive Management Team in:
Articulating the organization’s values, vision, mission and strategies
Developing strategic (direction) plans and ordering strategic priorities including the strategic plan, performance contract, annual budget, Procurement plan, training plans and media plans.
Maintaining open lines of communication and promulgating through the organization and with external stakeholders the values, vision, mission and strategies
Developing and maintaining an organization structure to support the achievement of agreed strategic objectives
Monitor the performance of the CEO against agreed performance indicators
Review and agree on the business (action) plans and annual budget proposed by the Executive Management Team
Monitor the achievement of the strategic and business plans and annual budget outcomes
Establish such committees, policies and procedures as will facilitate the more effective discharge of the Board’s roles and responsibilities
Ensure, through the Board committees and others as appropriate, compliance obligations and functions are effectively discharged
Initiate a Board self-evaluation program and follow-up action to deal with issues arising and arrange for directors to attend courses, seminars and participate in development programs as the Board judges appropriate
Ensure that all significant systems and procedures are in place for the organization to run effectively, efficiently, and meet all legal and contractual requirements
Ensure that all significant risks are adequately considered and accounted for by the Executive Management Team.
Ensure that organization has appropriate corporate governance structures in place including standards of ethical behaviour and promoting a culture of corporate and social responsibility.
The Board has no operational involvement in the conduct of organization’s business activities and delivery of services. Its role is confined to setting and reviewing policy

Eligibility Criteria
To be eligible all the persons appointed to the Board shall have a minimum of a Diploma and above from the recognized institution in any of the following Background;

CPA – Experience in accounting/finance – Must be in good standing at Institution of Certified Public Accountant of Kenya and Produce letter to that effect.
Registered Engineer – Must be in good standing at Institution of Engineers of Kenya.
Human Resource Degree and Practitioner – Must be in good standing at the Law Society of Kenya.
Practicing advocate of High Court – Must be in good standing at the Law Society of Kenya
Diploma/Degree in Business System/Management System.
Diploma/Degree in ICT practitioner
Must have a minimum of seven years working Experience in the core profession of the person
Must meet the Leadership and Integrity criteria under the constitution Chapter 6 and meet the Fit and Proper test criteria from WASREB which is Annex 2 to the WASREB Regulations
One Must be from the locality served by the WSP such as;
Industry/Manufacturing Sector
Relevant Commercial Sector
Key water catchment areas that are sources of water for WSP(Water Service Provider)
Residents Associations
