    JOB PURPOSE
    Reporting to the Chief Executive Officer, the ideal candidate will take overall charge of managing the legal function of the Corporation, providing legal advice to the Board and management, overseeing litigation and reviewing contracts to ensure compliance to policies. The position serves as the Secretary to the Board.
    KEY RESPONSIBILITIES AND TASKS

    Organizing for Board meetings;
    Taking minutes during board meetings and following up on action points;
    Liaising and communicating with the Board and other stakeholders;
    Coordinating Board evaluations, governance and legal audit;
    Developing and reviewing Board charters and other governance instruments;
    Enhancing good corporate governance by formulating policies and procedures relevant to the Corporation;
    Develop and implement the Corporation’s Legal strategies;
    Drafting and reviewing the Corporation’s and third parties’ contracts;
    Providing legal opinions on issues affecting the Corporation;
    Handling litigation and disputes involving the Corporation;
    Liaising with the Corporation’s external lawyers on matters they are handling for the Corporation;
    Providing legal advisory services to the Corporation on all legally binding contracts and documents so as to ensure statutory compliance;
    Developing and managing the legal department budget;
    Maintaining custody of all legal documents, contracts and security documentation for the Corporation;
    Overseeing the registration and protection of the Corporation’s intellectual property rights;
    Overseeing conveyance matters; and
    Coaching, mentoring and managing the legal team to ensure optimal staff performance.

    PROFILE
    Academic Qualifications

    Masters of Law (LLM) or Business Administration or any other relevant field shall be an added advantage;
    Bachelor of Law (LLB)

    Professional Qualifications
    CPS K
    Must be a member of the Institute of Certified Public Secretaries of Kenya in good standing. A letter of good standing from the Institute should be provided.
    Experience

    At least 10 years legal experience, 5 years of which must be at managerial level;
    Intellectual leadership in managing people, operations and financial resources;
    Ability to think strategically and design long term plans;
    Organization and coordination skills;
    Good communication skills both written and oral;
    Good negotiation skills;
    Analytical skills; and
    Interpersonal skills.

    Maximizing all sales development potential whilst protecting National Oil’s interests, through the coaching and motivating of Dealers.
    Participate in attraction and selection of the right Dealers.
    Through coaching, supporting and performance management of Dealers to deliver the basics and higher performance, ensure best Dealers have best sites and that poor Retailer performance is eliminated.
    Manage and maintain positive Dealer relationships, supporting Dealers to achieve and maintain top class site performance (including counselling to underperforming sites).
    Deliver Sales & Operations targets for geographical area through regular reviews and appropriate action plans.
    Ensure Retailers implement all aspects of the Dealer License Agreement and ensure compliance with the Site Operations/SHEQ standards, contracts and manuals.
    Manage and maintain a Dealer Master Plan within Territory through Retailer assessment and involvement with recruitment processes.
    Ensuring that Retailers’ actions do not damage National Oil’s reputation.

    The Board of National Oil Corporation of Kenya intends to recruit a qualified professional to the position of Chief Executive Officer.
    The Corporation is mandated, by the Government of Kenya, to participate in all aspects of the oil and gas sector, covering the Upstream sector (oil and gas exploration), and Downstream sector (sales and marketing of petroleum products).
    The Corporation operates in a competitive sector with local and international interfaces. This requires strong marketing, financial and interpersonal skills as well as practical relevant and thorough knowledge and experience of the oil and gas sector. The job holder will be the Accounting Officer responsible for setting and executing the overall business strategy for
    the Corporation, ensuring that the Corporation meets set performance targets on an on-going basis and ensuring profitability and maximization of shareholder value.
    The objective of this role is to drive National Oil’s transformation agenda with a view to positioning National Oil at the heart
    of Kenya’s economic and social transformation.
    Key areas of focus will include:

    Upstream Sector

    Expanding National Oil’s niche in upstream;
    Acquiring additional upstream acreage both onshore and offshore;
    Developing upstream capacity;
    Positioning National Oil as a thought leader in upstream oil and gas matters; and
    Developing opportunities in upstream support services.

    Midstream Sector

    Developing last mile petroleum infrastructure to ensure even the remotest parts of the country are adequately served with petroleum products; and
    Assisting in positioning Kenya as a regional hydrocarbon corridor in liaison with key stakeholders including Ministry of Petroleum and Mining, Kenya Pipeline Company and the National Treasury.

    Downstream Sector

    Driving market leadership with a view to enhance market share for National Oil;

    Enhancing the brand equity for the National Oil Corporation of Kenya brand and product brands.

    Key Responsibilities:

    PROFILE
     
    Academic Qualifications

    Master’s Degree in Strategic Management, Business Administration, Finance, Economics or any other relevant field from a recognized institution.
    Bachelor’s degree in Business Administration, Statistics, Finance, Economics, Commerce, Business, Engineering, Mining, Geology, Geophysics, Geochemistry, Petroleum Engineering or any other relevant field from a recognized institution.

    Professional Qualifications
    Professional qualification(s) shall be an added advantage.
    Experience

    At least 12 years’ working experience with at least 5 years at senior management level overseeing multidisciplinary functions in a busy commercial environment;
    Prior experience in managing a functional level in a large organization /busy environment.
    Proven track record in managing projects;
    Significant experience in oil and gas sector or commodity markets;
    Well-grounded understanding of corporate governance;
    Proven track record on development and implementation of turnaround strategies;
    Proven track record, knowledge and experience in upstream, midstream and downstream hydrocarbon industry; and
    Knowledge of Public Finance and Public Procurement Laws and Regulations.
