DESCRIPTION

To provide Legal advice and render corporate services

RESPONSIBILITIES

Maintaining corporate records: Ensuring accurate and up-to-date records of company documents, including minutes of meetings, resolutions, and shareholder records.
Board support: Assisting with the preparation of board meeting agendas, attending board meetings, taking minutes, and ensuring compliance with corporate governance requirements.
 Compliance management: Monitoring and ensuring compliance with applicable laws, regulations, and corporate policies, and advising the board and management on compliance matters.
Legal document preparation: Drafting and reviewing legal documents such as contracts, agreements, and corporate policies to ensure they are legally sound and in the best interest of the company.
Annual reports and filings: Preparing and filing annual reports, maintaining statutory registers, and ensuring timely submission of required documents to regulatory authorities.
Shareholder relations: Managing communication and relationships with shareholders, including coordinating annual general meetings and handling shareholder inquiries or requests.
Corporate governance: Providing guidance and support to the board on corporate governance practices, maintaining corporate governance policies, and ensuring compliance with relevant regulations.
Risk management: Assisting in the identification and management of legal and regulatory risks, including monitoring changes in legislation that may impact the company’s operations.
Liaison with external parties: Interacting with external advisors, such as lawyers, auditors, and regulatory bodies, and coordinating legal and compliance matters with external stakeholders.
 Legal research and analysis: Conducting research on various legal issues, statutes, and regulations, and providing analysis and recommendations to support decision-making.
Contract management: Reviewing, drafting, and negotiating contracts and agreements to ensure they protect the company’s interests and comply with legal requirements. 
Compliance oversight: Monitoring and ensuring compliance with laws, regulations, and internal policies, and implementing compliance programs to mitigate legal risks.
Litigation management: Collaborating with external counsel to handle litigation matters, including managing legal disputes, coordinating documentation, and representing the company’s interests.
 Intellectual property protection: Managing and protecting the company’s intellectual property assets, including trademarks, copyrights, and patents. Legal advice and counseling: Providing legal guidance and support to internal departments and management on a wide range of legal issues, such as labor law, data protection, and commercial law.
Regulatory compliance: Staying updated on changes in relevant laws and regulations affecting the company’s operations and ensuring adherence to regulatory requirements.
 Due diligence: Conducting legal due diligence for potential business transactions, mergers, acquisitions, or partnerships to identify and mitigate legal risks.
Training and education: Developing and delivering legal training programs to educate employees on legal compliance, ethics, and company policies.
 Any other duty as assigned by the supervisor in line with the job description.

QUALIFICATIONS

Bachelor of Law LLB degree
 Diploma from the Kenya School of Law
Advocate of the High Court of Kenya with a current Practicing Certificate
Certified Secretary
